These Terms of Service ("Terms") govern access to WholesaleVapor.com (the "Site") and wholesale purchases from Electronic Cigarettes, Inc., doing business as WholesaleVapor.com ("WholesaleVapor," "we," "us," or "our"). By using the Site, creating an account, or submitting an order, you agree to these Terms and the policies linked here.

1. Wholesale use only

The Site is intended for legitimate business-to-business wholesale transactions, not personal or consumer retail purchases. To purchase, you represent and warrant that:

• you are at least 21 years old and are authorized to bind the business identified on the account;
• the business is legally formed and operating, and all account information is true, current, and complete;
• you hold and will maintain every business, resale, tobacco, vapor, nicotine, tax, and other license or registration required for the products and destination;
• you will receive, possess, market, and resell products only as permitted by applicable federal, state, local, and tribal law; and
• you will not sell, furnish, or otherwise provide an age-restricted product to anyone under 21.

We may request documents, use verification services, suspend account access, or refuse an order if we cannot complete verification.

2. Account security

You are responsible for safeguarding account credentials and for all activity under the account. Notify us promptly at info@wholesalevapor.com if you suspect unauthorized access. You may not share an approved wholesale account with another business or use another business's credentials, licenses, resale certificate, or tax information.

3. Orders, acceptance, and availability

An order submission is an offer to purchase. We may accept, reject, hold, limit, modify, or cancel an order before shipment, including for inventory, pricing, verification, payment, fraud, product eligibility, carrier, tax, licensing, regulatory, or legal reasons. An order confirmation only acknowledges receipt and is not final acceptance. Products, prices, promotions, minimums, pack quantities, and availability may change without notice. Obvious pricing or catalog errors may be corrected.

4. Prices, payment, and taxes

Prices are shown in U.S. dollars unless stated otherwise. The purchaser is responsible for charges shown at checkout or on an invoice, including shipping, adult-signature or special handling, taxes, duties, assessments, and fees. A resale or exemption certificate must be valid for the transaction and does not relieve the purchaser of excise-tax, tobacco-tax, use-tax, filing, or licensing obligations that cannot legally be exempted.

5. Regulated products and customer compliance

Electronic nicotine delivery systems may include devices, liquids, components, parts, and accessories regardless of nicotine content. Product eligibility can differ by jurisdiction and can depend on flavor, nicotine source or concentration, product category, state product-directory status, FDA status, packaging, and local law. Listing a product on the Site is not a representation that it may be purchased, possessed, advertised, or resold in every jurisdiction.

The customer is primarily and independently responsible for conducting its own compliance review before ordering and reselling. By submitting an order, the customer certifies that it may lawfully receive, possess, stock, advertise, and resell each product at the destination and that it will pay and report taxes assigned to it by law. We may rely on the customer's licenses, certificates, attestations, and other information unless we know or reasonably determine that they are inaccurate.

We comply with the seller and shipper duties applicable to us and may require product- or destination-specific documents. We may block or cancel an affected product or order that we determine is restricted, unlisted, unauthorized, or otherwise unavailable for lawful B2B shipment. Because statutes sometimes use inconsistent definitions, a consumer delivery restriction will not by itself be treated as a ban on a qualifying shipment to a licensed retailer, distributor, wholesaler, or other eligible business.

6. Shipping

All shipments are governed by our Shipping Policy. We do not offer consumer retail shipping. WholesaleVapor has USPS approval for qualifying B2B vape and ENDS shipments under the applicable business-purpose exception and follows the conditions of that approval when USPS is used. Orders remain subject to the PACT Act, state and local rules, carrier conditions, adult-signature and identification controls where required, and product-level restrictions. The customer remains responsible for its own eligibility and lawful receipt and resale. Delivery dates are estimates.

7. Returns, refunds, and order problems

Returns and refunds are governed by our Refund Policy. You must obtain authorization before returning a product. Inspect shipments promptly and contact us with the order number and supporting photos or documentation if an item is missing, damaged, defective, or incorrect.

8. Product warnings and resale responsibility

Products sold through the Site may contain nicotine, an addictive chemical, and may include lithium-ion batteries or other components that can cause fire, explosion, injury, property damage, poisoning, or death if damaged, improperly stored, charged, transported, used, or disposed of. Keep all products away from children and pets. Follow the manufacturer's instructions, warnings, compatibility limits, storage rules, and disposal requirements.

If you resell products, you are responsible for providing legally required warnings, instructions, ingredient or nicotine disclosures, age controls, and other consumer information. You must not make unauthorized health, therapeutic, smoking-cessation, reduced-risk, or regulatory claims.

9. Site content and intellectual property

The Site and its text, graphics, logos, images, software, and other content are owned by or licensed to us and are protected by applicable law. We grant you a limited, revocable, nonexclusive right to use the Site for legitimate business purchasing. You may not copy, scrape, republish, reverse engineer, interfere with, or commercially exploit the Site except with our written permission or as permitted by law.

10. Prohibited conduct

You may not use the Site to violate law, evade age or identity checks, falsify business or tax documents, obtain products for an ineligible recipient or destination, infringe another person's rights, introduce malicious code, disrupt the Site, or engage in fraud or abusive conduct.

11. Third-party services and links

The Site may use or link to third-party services, including Shopify, payment processors, verification providers, carriers, returns platforms, analytics providers, and external websites. Third-party services are governed by their own terms and privacy practices. A link does not imply endorsement, and we are not responsible for third-party content or availability.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Site, content, and services are provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free, that catalog information will always be complete or current, or that any product is lawful or suitable for a customer's particular jurisdiction or resale channel. Rights that cannot legally be disclaimed are not affected.

13. Limitation of liability

To the maximum extent permitted by law, WholesaleVapor and its owners, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, regulatory action, or loss arising from misuse, unsafe handling, unlawful resale, or failure to comply with law. Our aggregate liability arising from a particular order will not exceed the amount paid to us for the products giving rise to the claim. These limitations do not apply where prohibited by law.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless WholesaleVapor and its owners, officers, employees, and affiliates from claims, losses, penalties, taxes, costs, and reasonable attorneys' fees arising from your breach of these Terms, inaccurate account or licensing information, unlawful receipt or resale, failure to provide required warnings or age controls, product modification or misuse, or violation of law or third-party rights.

15. Suspension and termination

We may suspend or terminate access, cancel pending orders, or refuse future service if we reasonably believe an account presents a legal, regulatory, fraud, payment, safety, or security risk. Provisions that by their nature should survive termination will survive, including payment, compliance, warranty disclaimers, liability limits, and indemnification.

16. Applicable law, severability, and no waiver

These Terms are governed by applicable United States federal law and other applicable law. Mandatory protections and rules of a jurisdiction that cannot legally be waived remain in effect. If a provision is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.

17. Changes

We may update these Terms by posting a revised version and changing the "Last updated" date. Changes apply prospectively unless law requires otherwise. Continued use after the effective date constitutes acceptance of the revised Terms.
